These Terms of Service ("Terms") govern your access to and use of the TripDesk365 platform, websites, and applications (collectively, the "Service"). The Service is provided by Elite Travel Technologies LLC, a Delaware-registered limited liability company ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
TripDesk365 is a travel operations platform that imports, structures, and tracks travel bookings on behalf of travel agencies, corporate travel teams, and individual travelers. The Service does not sell flights, hotels, cars, or other travel inventory; we track bookings sourced from third parties.
2. Eligibility and accounts
You must be at least 18 years old to use the Service. You agree to provide accurate registration information and to keep it current. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
3. Acceptable use
You agree not to:
- Use the Service in violation of any applicable law.
- Upload or transmit malware, illegal content, or content that infringes others' rights.
- Attempt to gain unauthorized access to other tenants' data, our infrastructure, or accounts you do not own.
- Resell, sublicense, or commercially redistribute the Service without our written agreement.
- Use automated means to scrape or extract data beyond our documented public API and rate limits.
4. Subscription and billing
The Service is offered in plans (see Pricing). Plans are billed per workspace, monthly or annually, with two months free on annual prepay. Corporate plans are billed per active traveler. Enterprise plans are billed under separate written agreement. Free trial periods convert to paid plans only with your explicit consent.
5. Cancellation and refunds
You may cancel your subscription at any time. Upon cancellation your access continues until the end of the then-current billing period. Annual plans are not pro-rated except under the 14-day window for first-time annual subscribers. 6. Your data
You retain all rights to data you submit to the Service ("Customer Data"). You grant us a limited license to host, process, transmit, and display Customer Data solely as necessary to provide the Service. We will not access Customer Data except (a) as required to provide and improve the Service, (b) with your authorization, or (c) to comply with law. See our Privacy Policy for detail.
7. Third-party services
The Service relies on third-party providers including FlightAware AeroAPI, Gmail (via Google APIs), Vercel, Neon, Clerk, and Resend. We are not responsible for outages, data accuracy issues, or pricing changes from those providers, but we will make reasonable efforts to mitigate impact.
8. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. TripDesk365 does not warrant that flight, hotel, or other travel data displayed is current, complete, or accurate; always confirm critical details with the source provider.
9. Limitation of liability
To the maximum extent permitted by law, Elite Travel Technologies LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of your use of or inability to use the Service. Our total aggregate liability for any claim arising out of these Terms shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) US$100.
10. Indemnification
You agree to indemnify and hold harmless Elite Travel Technologies LLC from any claims, damages, or expenses arising out of your use of the Service in violation of these Terms or applicable law.
11. Termination
We may suspend or terminate your access to the Service if you materially breach these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately; we will retain your data for 30 days for retrieval, after which it may be deleted.
12. Changes to the Terms
We may update these Terms from time to time. Material changes will be communicated by email or in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
13. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles. Any dispute arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.
